GPI, a leading Italian group in the health and social care market, announces the signing of an agreement to acquire 60% of the share capital of Hemasoft Software for €4.8M, parent company of the Spanish group of the same name, specialised in the development of healthcare software.

Founded in 1987, Hemasoft Software is an international company with offices in Europe, USA and Asia that provides online software solutions for blood centres and blood banks, cell therapy laboratories, umbilical cord blood banks, tissue banks, clinical laboratories and breast milk banks in more than 50 countries.
This software enables blood banks and laboratories to develop and implement operational initiatives to reduce their costs and increase their profitability and operational efficiency.
Hemasoft had 2016 revenues of €3.2M and an EBITDA margin of over 25%, with a workforce of approximately 30 employees.
GPI announces purchase of 60% from Hemasoft
The Italian group GPI Spa announced the signing of a framework agreement to acquire 60% of the share capital of Hemasoft Software, parent company of the Spanish group of the same name. GPI is listed on the AIM Italia index and is a leading technology partner in the health and social care market.
The agreement represents a particularly important step in GPI's growth process. On the production side, Hemasoft Software is highly specialised in the development of IT systems. The applications of its online software solutions cover the entire process from donor to final transplantation, including the analysis and preservation of organic material, while ensuring compliance with the highest international quality standards and certifications.
From a commercial point of view, this acquisition will bring significant assets in terms of geographic coverage, contacts and potential customer targets, domain and operational expertise. GPI strengthens its presence abroad and will be able to carry out interesting cross-selling operations; and expects to obtain important industrial and technological synergies, which will be added to those already acquired in the same business through the acquisition of Insiel Mercato in December 2016.
The amount of the acquisition is set at €4.8M, with the deal expected to close by the end of this month. The deal also includes an option for GPI to acquire the remaining 40% of Hemasoft Software in 2020.
