which has completed the purchase of the companies BC Sistemas de Comunicaci\u00f3n and the telecommunications and IT consultancy production unit belonging to the Canary Islands company style=\"text-align: justify;\"><strong>The Information and Communication Technologies consultancy firm<\/strong>, <a href=\"https:\/\/www.izertis.com\/es\/\" target=\"_blank\" rel=\"noopener\">Izertis<\/a>has just completed its last two <a href=\"https:\/\/techma.bakertilly.es\/en\/merger-and-acquisition-m-a\/\" target=\"_blank\">mergers and acquisitions<\/a>:<\/p>\n<ul style=\"text-align: justify;\">\n<li>The company <strong>BC Communication Systems<\/strong><\/li>\n<li>La <strong>Ositel's telecommunications and IT consultancy production unit<\/strong><\/li>\n<\/ul>\n<p style=\"text-align: justify;\">Thanks to these two <a href=\"https:\/\/techma.bakertilly.es\/en\/acquiere-a-company-2\/\">shopping<\/a>Izertis reinforces its presence in the market of consulting and telecommunications equipment sales, installation, repair and maintenance.<\/p>\n<p style=\"text-align: justify;\">As\u00ed mismo, tambi\u00e9n aporta importantes clientes del sector hotelero, como Meli\u00e1, <a href=\"https:\/\/www.riu.com\/es\/home.jsp\" target=\"_blank\" rel=\"noopener\">Riu<\/a>, <a href=\"https:\/\/www.barcelo.com\/es\/\" target=\"_blank\" rel=\"noopener\">Barcel\u00f3<\/a>, <a href=\"https:\/\/www.h10hotels.com\/es\" target=\"_blank\" rel=\"noopener\">H10<\/a> or <a href=\"https:\/\/www.lopesan.com\/es\/\" target=\"_blank\" rel=\"noopener\">Lopesan<\/a>.<\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"DERECHO_DE_COMPRA_EJERCIDO_DE_IZERTIS_SOBRE_BC_SISTEMAS\"><\/span>IZERTIS' RIGHT OF PURCHASE EXERCISED OVER BC SISTEMAS<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\">Specifically, Izertis has exercised its call option on 100% of the shares of BC Sistemas.<\/p>\n<p style=\"text-align: justify;\">It has done so for a fixed acquisition price of one euro in cash and a variable one depending on future profits.<\/p>\n<p style=\"text-align: justify;\">This variable part shall be paid in cash or in shares of Izertis, which shall choose in which of these two ways half of the variable part shall be paid.<\/p>\n<p style=\"text-align: justify;\">The method of payment of the other 50% will be decided by the former partners of BC Sistemas.<\/p>\n<p style=\"text-align: justify;\">With this acquisition, Izertis also assumes the debt of BC Sistemas for an amount of 1.76 million euros.<\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"LA_UNIDAD_PRODUCTIVA_DE_OSITEL\"><\/span>OSITEL'S PRODUCTION UNIT<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\">On the other hand, Izertis has acquired Ositel's telecommunications and IT consultancy production unit.<\/p>\n<p style=\"text-align: justify;\">The fixed price is almost 155,000 euros, and the variable price is linked to the performance of the business unit's Ebitda in 2020, with a limit of 75,000 euros.<\/p>\n<p style=\"text-align: justify;\">The company has already paid the initial amount of 44,117.60 euros after the sale, but payments of 13,750 euros each, payable over 24 months, are still outstanding.<\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"EMPRESAS_SOLIDAS\"><\/span>STRONG COMPANIES<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\">It is worth mentioning that both acquired firms have been in business for more than 25 years, and have offices in Madrid, Barcelona and the Canary Islands.<\/p>\n<p style=\"text-align: justify;\">BC Sistemas' group-wide revenues as of 31 December 2019 amounted to \u20ac4.4m, while Ositel's revenues amounted to \u20ac1.3m.<\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"ESTABLECIMIENTO_DE_UN_CENTRO_DE_DESARROLLO\"><\/span>ESTABLISHMENT OF A DEVELOPMENT CENTRE<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\">These <a href=\"https:\/\/techma.bakertilly.es\/en\/merger-and-acquisition-m-a\/\" target=\"_blank\">mergers and acquisitions<\/a> se unen a la constituci\u00f3n de Izertis Canarias SLU en la Zona Especial Canaria (ZEC).<\/p>\n<p style=\"text-align: justify;\">A centre for the development of advanced services and R&amp;D&amp;I projects will be established there, which will provide support to the rest of the company's delegations.<\/p>\n<p style=\"text-align: justify;\">This office will also serve as a support for business development in West Africa alongside the recently opened delegation in Cape Verde.<\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"TRANSFORMACION_DIGITAL\"><\/span>DIGITAL TRANSFORMATION<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\">With operations in more than 50 countries, Izertis is consolidating its position in the technology market as one of the world's leading companies. <strong>global consulting firm helping companies and institutions in their digital transformation<\/strong>.<\/p>\n<p style=\"text-align: justify;\">It is also currently listed on the <a href=\"https:\/\/www.bolsasymercados.es\/mab\/esp\/Home.aspx\" target=\"_blank\" rel=\"noopener\">Alternative Stock Market<\/a>
